1. Acceptance of Terms

By accessing or using PrimeKit (“the System”, “we”, “our”), you agree to these Terms of Use. If you do not agree, you must not use the System.

Optione LTD reserves the right to update these Terms at any time. Updates will be communicated through the System’s Announcements module. Continued use of the System constitutes acceptance of the updated Terms.

2. Eligibility

The System is intended for users aged 18 and above.

Competitors are prohibited from using or accessing PrimeKit under any circumstances (see Section 8).

3. Permitted Use

You agree to use PrimeKit solely for legitimate business purposes related to your own GoHighLevel (GHL) account.

Unauthorized use, misuse, or attempts to bypass system protections are strictly prohibited.

4. Intellectual Property

4.1 Ownership

All code, logic, scripts, UI components, features, configurations, designs, and internal assets in PrimeKit are the exclusive intellectual property of Optione LTD.

Nothing in these Terms grants users any ownership rights.

4.2 No Reverse Engineering

Users may not access, copy, extract, inspect, decompile, scrape, or attempt to reverse engineer any part of PrimeKit’s code, logic, structures, or internal assets.

Public UI elements are not a gateway to inspect or access internal code.

4.3 No Competing Product Creation

Users may not create, develop, assist in developing, or contribute to any competing product, tool, extension, or system based on or inspired by PrimeKit’s proprietary implementation, features, logic, or internal assets.

This includes products that operate inside GHL or use GHL components.

5. UI and Platform Structure Limitations

PrimeKit operates inside the GHL interface and is therefore constrained by GHL’s platform layout.

Similarities in appearance between GHL-based extensions do not imply shared code or copied IP.

6. Custom Work Ownership

Any custom scripts, integrations, or features developed for a user remain the property of Optione LTD unless explicitly and contractually transferred in writing.

7. No Partnership or Joint Venture

Support interactions, feature discussions, advisory calls, or customer communication do not create a partnership, employment, or joint venture.

Nothing grants customers any ownership or co-creation rights.

8. Competitor Restrictions and Good Faith Use

8.1 Use in Good Faith

Users must access and use PrimeKit in good faith and exclusively for legitimate internal business needs.

Using the System for competitive analysis, code inspection, UI duplication, workflow extraction, product cloning, or any intention that conflicts with PrimeKit’s operation is prohibited.

8.2 Competitor Access Prohibited

The following entities are strictly forbidden from creating accounts or accessing PrimeKit:

Developers of GHL enhancements, UI kits, themes, Chrome extensions, or automation tools

Companies offering or developing a competing product or service

Individuals acting on behalf of a competitor

Anyone accessing the System to evaluate or replicate features

Optione LTD may deny or revoke access if competitive intent is suspected.

8.3 Mandatory Disclosure

Users must disclose if they develop, own, contribute to, or consult for any product that competes with PrimeKit or may reasonably be considered a competing offering.

Failure to disclose constitutes a material breach of these Terms.

9. No Access to Internal Code

PrimeKit does not disclose backend code, logic workflows, database structures, JS files, or internal assets.

Any attempt to access or extract these materials for the purpose of competitive development is strictly prohibited.

10. Payments and Billing

All payments are processed by third-party providers such as Stripe or Lemon Squeezy.

Optione LTD does not store full payment card information; only the last four digits and card brand may be kept for reference.

Refunds and billing disputes are handled according to the payment provider’s policies.

11. External Dependencies (GHL Updates)

PrimeKit relies on the functionality and stability of the GoHighLevel platform.

If GHL releases updates that disrupt or alter system behavior, Optione LTD is not responsible for such external changes.

We will make reasonable efforts to update PrimeKit promptly, but we are not liable for losses caused by GHL updates or platform changes.

12. System Availability and Updates

PrimeKit may experience downtime due to maintenance, updates, or third-party disruptions.

Users acknowledge that updates, improvements, and changes may occur periodically.

13. Limitations of Liability

To the maximum extent permitted by law, Optione LTD is not liable for:

Indirect, incidental, or consequential damages

Loss of revenue, data, opportunities, or business continuity

Issues caused by third-party services (GHL, DigitalOcean, Stripe, etc.)

Disruptions caused by platform changes outside our control

User errors or misconfigurations

Total liability is limited to the amount paid by the user in the preceding 12 months.

14. Termination of Access

Optione LTD may suspend or terminate user access without prior notice if:

These Terms are violated

Competitive intent is detected

Internal code access is attempted

Fraud, misuse, or harmful behavior occurs

Terminated users are not entitled to refunds.

15. Governing Law

These Terms are governed exclusively by the laws of the State of Israel.

All legal disputes shall be resolved solely in the competent courts of Tel Aviv, Israel.
